Terms of Use

Welcome to GoGrab Space (the “Platform”), an AI-powered digital experience building service operated by GOGRAB LLC (“Company,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Florida, United States of America.

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and GOGRAB LLC governing your access to and use of the GoGrab Space platform, including all associated websites, applications, AI-powered tools, autonomous agents, APIs, and related services (collectively, the “Services”).

GoGrab Space is an AI-powered platform that enables users to build digital experiences—including websites, web applications, online stores, and other digital products—using advanced artificial intelligence technologies from providers such as OpenAI, Anthropic (Claude), and Google (Gemini). The Platform includes autonomous AI agents, AI-assisted content generation, and intelligent design tools.

Eligibility: You must be at least sixteen (16) years of age to use the Services. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are between the ages of 16 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

These Terms apply to all visitors, registered users, subscribers, and any other persons who access or use the Services, regardless of whether access is through a web browser, mobile device, API, browser extension, or any other means.

Subscription Plans

GoGrab Space offers various subscription tiers that provide different levels of access to the Platform’s features, including AI generation capabilities, storage capacity, custom domain support, and autonomous agent usage. Current subscription plans and pricing are available on our pricing page and may be updated from time to time.

Billing & Payment

• Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan) through your chosen payment method.
• All fees are quoted and charged in United States Dollars (USD) unless otherwise specified at the time of purchase.
• You authorize us to charge your designated payment method for all fees incurred in connection with your account, including any applicable taxes.
• Failure to pay any fees when due may result in the suspension or termination of your access to paid features of the Services.

Taxes

All fees are exclusive of applicable taxes (including sales tax, use tax, VAT, or other governmental charges) unless stated otherwise. You are responsible for the payment of all applicable taxes associated with your subscription, except for taxes based on GOGRAB LLC’s net income.

Free Trials & Promotions

We may offer free trials or promotional pricing at our sole discretion. At the end of any free trial period, your subscription will automatically convert to a paid plan at the then-current rate unless you cancel before the trial expires. Promotional pricing is temporary and subject to the specific terms disclosed at the time of the offer.

Refund Policy

Subscription fees are generally non-refundable. However, if you cancel your subscription within seven (7) days of your initial purchase or annual renewal and have not substantially used the AI generation features of the Platform, you may request a refund by contacting us at billing@gograb.io. Refund requests are evaluated on a case-by-case basis and are granted at our sole discretion.

AI generation credits or tokens consumed during your subscription period are non-refundable under any circumstances, as they represent third-party costs incurred on your behalf.

Price Changes

We reserve the right to modify our subscription pricing at any time. Any price changes will be communicated to you at least thirty (30) days before they take effect. Your continued use of the Services after the price change becomes effective constitutes your agreement to the new pricing.

GOGRAB LLC reserves the right to revise, amend, or update these Terms at any time at our sole discretion. When we make changes, we will update the “Last Updated” date at the top of this document.

For material changes—including but not limited to changes affecting your rights, obligations, pricing, data processing practices, or AI feature functionality—we will provide at least thirty (30) days’ advance notice through one or more of the following methods:

• Email notification to the address associated with your account
• A prominent notice displayed within the Platform upon login
• A banner or notification on our website

For non-material changes (such as typographical corrections, formatting updates, or clarifications that do not alter the substance of these Terms), we may update these Terms without prior notice.

Account Registration

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times.

Password & Access Security

• You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys or access tokens associated with your account.
• You must use a strong password of at least eight (8) characters, including a combination of uppercase letters, lowercase letters, numbers, and special characters.
• You agree not to share your account credentials with any third party and not to permit any other person to access the Services using your account.
• Where available, we strongly recommend enabling two-factor authentication (2FA) on your account.

Unauthorized Access

You must immediately notify us at security@gograb.io if you become aware of or suspect any unauthorized access to or use of your account. GOGRAB LLC shall not be liable for any loss or damage arising from your failure to safeguard your account credentials or to report unauthorized access in a timely manner.

Account Termination

We reserve the right to suspend, disable, or terminate your account at any time, with or without notice, if we reasonably believe that:

• You have violated any provision of these Terms
• Your account has been compromised or is being used for unauthorized purposes
• Your use of the Services poses a security risk to the Platform or other users
• You have engaged in fraudulent, abusive, or illegal activity
• We are required to do so by law or legal process

You may terminate your account at any time by following the account deletion procedures within the Platform or by contacting us at support@gograb.io. Termination of your account does not relieve you of any obligation to pay outstanding fees.

AI Features Overview

The Platform provides the following AI-powered features and tools:

• Vibe — AI Platform Builder: An AI-driven tool that enables you to design, build, and deploy complete digital experiences (websites, applications, online stores) through natural language instructions and AI-assisted generation.
• Vitto — Autonomous AI Agent: An intelligent autonomous agent capable of performing multi-step tasks on your behalf, including reading and writing files, executing commands, creating task handoffs between agents, and managing complex workflows within your projects.
• AI Generation Hub: A centralized interface for generating text, images, code, layouts, and other digital content using multiple AI providers (OpenAI, Anthropic Claude, Google Gemini, and others as they become available).
• AI-Assisted Content Creation: Intelligent tools for generating, editing, refining, and translating content for your digital experiences, including copy, descriptions, metadata, and structured data.

Third-Party AI Providers

The AI features of GoGrab Space are powered, in whole or in part, by third-party AI providers, including but not limited to OpenAI, Anthropic, and Google. Your use of AI features is also subject to the terms of service and usage policies of these third-party providers. We are not responsible for the performance, availability, or conduct of third-party AI models.

Availability & Performance

AI features are provided on an “as available” basis. We do not guarantee that AI features will be available at all times, uninterrupted, error-free, or that they will produce any particular result. AI capabilities may vary depending on the underlying model, system load, third-party provider availability, and other factors beyond our control.

We reserve the right to modify, update, replace, or discontinue any AI feature at any time, with or without notice, including switching underlying AI providers or models.

No Professional Advice

AI-generated content provided through the Platform does NOT constitute and should NOT be relied upon as:

• Legal advice or legal opinions
• Medical, health, or clinical advice
• Financial, investment, tax, or accounting advice
• Professional engineering, architectural, or technical advice
• Any other form of licensed professional advice

Always consult a qualified professional before making decisions based on or influenced by AI-generated content.

User Verification Responsibility

You are solely responsible for reviewing, verifying, and validating all AI-generated outputs before incorporating them into your projects, publishing them, or relying on them in any way. This includes, without limitation:

• Verifying the factual accuracy of AI-generated text and data
• Reviewing AI-generated code for errors, vulnerabilities, and compliance with best practices
• Ensuring AI-generated designs and layouts meet your requirements and applicable standards
• Confirming that AI-generated content does not infringe upon third-party intellectual property rights
• Checking AI-generated content for bias, inappropriate language, or offensive material

No Guarantees

GOGRAB LLC makes no representation or warranty regarding the accuracy, completeness, reliability, suitability, timeliness, or fitness for any particular purpose of any AI-generated output. All AI features and outputs are provided strictly on an “AS IS” and “AS AVAILABLE” basis.

What Vitto Can Do

Vitto, the Platform’s autonomous AI agent, is designed to perform complex, multi-step tasks on your behalf within your authorized project scope. Vitto’s capabilities include, but are not limited to:

• Read files: Access and analyze files within your project workspace
• Write files: Create, modify, or delete files as part of task execution
• Run commands: Execute system commands and scripts within the Platform environment
• Create handoffs: Delegate subtasks to other AI agents or request human review
• Manage workflows: Coordinate multi-step processes involving analysis, planning, execution, and verification
• Search and recall: Query documentation, prior decisions, and project history for context

Authorization Scope

Vitto operates only within the scope you explicitly authorize. You must affirmatively enable autonomous agent features before Vitto can perform actions on your behalf. By enabling Vitto, you grant the agent permission to perform the actions described above within the boundaries of your project workspace and configured permissions.

Revocation & Control

You may revoke or limit Vitto’s authorization at any time by:

• Disabling the autonomous agent feature in your project settings
• Canceling active agent tasks through the Platform interface
• Adjusting permission levels to restrict specific agent capabilities
• Contacting support at support@gograb.io for immediate agent deactivation

Liability for Agent Actions

GOGRAB LLC shall not be held liable for actions taken by Vitto within the scope of your authorization. You acknowledge that autonomous agents operate using AI-driven logic and that outcomes may vary. You accept full responsibility for any consequences arising from actions performed by Vitto under your authorized scope, including file modifications, command execution, and content generation.

Platform Intellectual Property

The Platform, including its original content, features, functionality, software, code, design, trademarks, service marks, logos, and trade names, is and shall remain the exclusive property of GOGRAB LLC and its licensors. The Platform is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws of the United States and international jurisdictions.

Nothing in these Terms grants you any right, title, or interest in or to the Platform or its intellectual property, except for the limited license to use the Services as expressly permitted by these Terms.

Your Content

You retain all ownership rights in the content, data, materials, and intellectual property that you upload, submit, or otherwise provide to the Platform (“Your Content”). By submitting Your Content, you represent and warrant that you own or have the necessary rights, licenses, and permissions to use and authorize us to use Your Content as described in these Terms.

License Grant to GOGRAB LLC

By submitting Your Content to the Platform, you grant GOGRAB LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, display, and distribute Your Content solely for the purposes of providing, operating, improving, and maintaining the Services. This license terminates when you delete Your Content from the Platform or close your account, except for copies retained in routine backups or as required by law.

Your Inputs

You retain full ownership of all inputs you provide to the AI features, including prompts, instructions, text, images, data, and any other materials you submit to generate AI outputs (“Inputs”).

AI-Generated Outputs

To the extent permitted by applicable law, GOGRAB LLC assigns to you all right, title, and interest in AI-generated outputs created specifically in response to your Inputs (“Outputs”). You are free to use, modify, publish, and commercialize Outputs generated through your use of the Platform.

Non-Uniqueness of Outputs

Due to the nature of AI systems, similar or identical Inputs from different users may produce similar or identical Outputs. GOGRAB LLC does not guarantee the uniqueness or exclusivity of any AI-generated Output.

Third-Party Intellectual Property

You are solely responsible for ensuring that AI-generated Outputs do not infringe upon the intellectual property rights, privacy rights, or other rights of any third party. GOGRAB LLC does not warrant that AI-generated content is free from third-party intellectual property claims.

Platform Use of Anonymized Data

GOGRAB LLC may use anonymized, aggregated, and de-identified data derived from your use of AI features (including anonymized prompts and outputs) to improve the Platform, train internal systems, enhance AI features, and conduct research. Such data will not be personally identifiable or attributable to you.

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. Without limitation, you shall not:

• Use the Services for any illegal, fraudulent, or unauthorized purpose
• Violate any applicable local, state, national, or international law or regulation
• Upload, transmit, or distribute any viruses, malware, worms, Trojan horses, or other harmful code
• Attempt to gain unauthorized access to the Platform, other user accounts, or any connected systems or networks
• Interfere with or disrupt the integrity, security, or performance of the Services or any associated infrastructure
• Use any automated system, including bots, scrapers, crawlers, or data mining tools, to access or extract data from the Services without our prior written consent
• Engage in any activity that imposes an unreasonable or disproportionate load on our infrastructure
• Impersonate any person or entity, or falsely claim an affiliation with any person or entity
• Harvest, collect, or compile information or data about other users without their consent
• Send unsolicited communications, spam, chain letters, or pyramid schemes through or using the Services
• Use the Services to infringe upon the intellectual property rights, privacy rights, or other rights of any third party
• Resell, sublicense, or redistribute access to the Services without our prior written authorization
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Platform
• Use the Platform to develop, train, or improve a competing AI service or product
• Circumvent, disable, or otherwise interfere with any security-related features of the Platform

In addition to the general prohibited uses above, the following rules apply specifically to your use of AI-powered features within the Platform:

Prohibited AI Activities

• No jailbreaking or prompt injection: You shall not attempt to circumvent, bypass, or override the safety measures, content filters, system prompts, or operational boundaries of any AI system accessible through the Platform.
• No reverse engineering: You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, model weights, training data, or underlying technology of any AI model used by the Platform.
• No competitive use: You shall not use the Platform’s AI features to develop, train, fine-tune, or improve a competing AI service, product, or model.
• No harmful content generation: You shall not use AI features to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, sexually explicit (involving minors), discriminatory, or otherwise objectionable.
• No deceptive content: You shall not use AI features to generate deepfakes, disinformation, misinformation, fraudulent documents, or content intended to deceive or manipulate individuals or the public.
• No bulk automated generation: You shall not use automated scripts, bots, or other programmatic means to generate AI content in bulk quantities that exceed fair use limits established by the Platform or that are intended to circumvent usage quotas.

Human Oversight Requirements

The Platform may allow you to post, submit, publish, display, or transmit content and materials, including text, images, video, code, designs, and other materials (“User Contributions”), on or through the Services.

License for User Contributions

By posting User Contributions, you grant GOGRAB LLC and its affiliates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Contributions in connection with operating, providing, and promoting the Services. For clarity, this license does not transfer ownership of your User Contributions to us.

Representations & Warranties

You represent and warrant that:

• You own or control all rights in and to your User Contributions
• Your User Contributions are accurate and not misleading
• Your User Contributions do not violate any applicable law, regulation, or these Terms
• Your User Contributions do not infringe upon the rights of any third party
• Your User Contributions will not cause injury to any person or entity

Right to Remove

We reserve the right, but are not obligated, to review, edit, refuse to post, or remove any User Contributions at our sole discretion, for any reason or for no reason, including content that we determine violates these Terms, is objectionable, or may expose GOGRAB LLC to liability.

Right to Monitor

GOGRAB LLC reserves the right, but does not assume the obligation, to monitor, review, and analyze the use of the Services, including User Contributions and AI-generated outputs, to ensure compliance with these Terms, applicable laws, and our content policies.

AI Content Moderation

We employ automated AI-powered content moderation systems to detect and flag potentially harmful, illegal, or policy-violating content. You acknowledge and consent to the use of such automated systems. Automated moderation decisions may be supplemented or overridden by human review.

Enforcement Actions

In the event of a violation of these Terms, we may, at our sole discretion:

• Issue a warning to your account
• Temporarily suspend your access to specific features or the entire Platform
• Permanently terminate your account
• Remove or disable access to any content that violates these Terms
• Report your activity to law enforcement authorities if we believe illegal conduct has occurred
• Take any other action we deem necessary to protect the Platform, other users, or third parties

We will endeavor to provide notice of enforcement actions where practicable, but we reserve the right to take immediate action without prior notice when necessary to prevent harm or respond to legal requirements.

All content created, uploaded, or generated through the Platform—whether by you directly or through AI tools—must comply with the following standards. Content must not:

• Contain material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property right of any party
• Violate the legal rights (including rights of privacy and publicity) of others
• Contain any material that could give rise to civil or criminal liability under applicable law
• Promote any illegal activity or advocate, promote, or assist any unlawful act
• Involve commercial activities or sales without our prior written consent, including contests, sweepstakes, barter, or advertising
• Impersonate any person or misrepresent your identity or affiliation with any person or organization
• Give the impression that the content emanates from or is endorsed by GOGRAB LLC if that is not the case
• Contain malicious code, viruses, or any software designed to interrupt, destroy, or limit functionality

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GOGRAB LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• WARRANTIES THAT THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE
• WARRANTIES THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED

AI-Specific Disclaimers

WITHOUT LIMITING THE FOREGOING, GOGRAB LLC SPECIFICALLY DISCLAIMS ANY WARRANTY THAT:

• AI-generated outputs will be accurate, truthful, unbiased, complete, or error-free
• AI features will produce consistent, predictable, or reproducible results
• AI-generated content will be suitable for any particular purpose or application
• AI-generated content will not infringe upon the intellectual property rights of third parties
• Autonomous agent actions will produce the intended or expected results
• AI features will be available without interruption or will be free from technical failures

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM GOGRAB LLC OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOGRAB LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS
• ANY DAMAGE ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES
• ANY DAMAGE ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS
• ANY DAMAGE ARISING FROM THE CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH THE SERVICES
• ANY OTHER MATTER RELATING TO THE SERVICES

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN GOGRAB LLC AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL. IN SUCH CASES, THE LIABILITY OF GOGRAB LLC SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

In addition to the general limitation of liability above, you specifically acknowledge and agree that GOGRAB LLC shall bear no liability for:

• AI Hallucinations: Inaccurate, fabricated, misleading, or fictitious information produced by AI systems, including false statements of fact, non-existent references, and fabricated data
• AI Output Accuracy: Any reliance you place on AI-generated content, code, designs, recommendations, or suggestions, including errors, omissions, or inaccuracies therein
• Third-Party AI Provider Outages: Interruptions, failures, degraded performance, or unavailability of AI features caused by third-party AI providers (OpenAI, Anthropic, Google, or others), including scheduled or unscheduled downtime, rate limiting, or service changes
• Autonomous Agent Actions: Any actions taken by the Vitto autonomous agent or other automated systems within the scope of your authorization, including file modifications, code changes, command execution, and task delegation
• Professional Reliance on AI: Any damages, losses, or liabilities arising from your use of AI-generated outputs as professional advice (legal, medical, financial, or otherwise) without independent verification by a qualified professional
• AI Content Claims: Any third-party claims of intellectual property infringement, defamation, privacy violations, or other legal claims arising from AI-generated content
• AI Model Changes: Changes in AI model behavior, capabilities, or outputs resulting from updates, fine-tuning, or replacement of underlying AI models by GOGRAB LLC or third-party providers

You agree to defend, indemnify, and hold harmless GOGRAB LLC, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation
• Your use of the Services, including any data or content you submit, post, or transmit through the Services
• Your use of AI-generated content, including any claims that such content infringes upon the intellectual property rights, privacy rights, or other rights of any third party
• Actions performed by autonomous agents (including Vitto) under your authorization
• Your violation of the rights of any third party
• Any misrepresentation made by you
• Your failure to maintain adequate human oversight of AI-generated content in regulated domains

GOGRAB LLC reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with GOGRAB LLC in asserting any available defenses.

Applicable Law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without giving effect to any choice or conflict of law provision or rule.

Dispute Resolution & Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Florida, in the English language, by a single arbitrator.

The arbitrator’s decision shall be final and binding upon both parties and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and expenses of arbitration, and the parties shall share equally the fees of the arbitrator.

Class Action Waiver

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

Jurisdiction

To the extent that arbitration does not apply or is unenforceable, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of such courts.

Consent to Communications

By creating an account or providing your contact information, you consent to receive communications from GOGRAB LLC, including:

• Service-related notifications (account alerts, security notices, billing confirmations)
• Product updates, feature announcements, and platform news
• Promotional offers and marketing communications (where you have opted in)
• SMS/text messages for account verification, two-factor authentication, and transactional alerts

SMS & Text Messages

If you opt in to receive SMS or text messages, standard message and data rates may apply as determined by your mobile carrier. Message frequency will vary based on your account activity and communication preferences. GOGRAB LLC is not responsible for any fees or charges imposed by your mobile carrier.

No mobile information collected as part of the SMS opt-in process will be shared with or sold to third parties or affiliates for marketing or promotional purposes. Your mobile phone number and related opt-in data are used solely to provide the communications described in this section.

Opt-Out

You may opt out of communications at any time by:

• Replying “STOP” to any SMS message
• Adjusting your notification preferences in your account settings
• Clicking the “unsubscribe” link included in marketing emails
• Contacting us at support@gograb.io
